Member Terms and Conditions

By joining as a MyMidlands member, you agree to abide by the following terms and conditions:

We reserve the right to amend these terms at any time. Updated terms will be posted on our website, and continued use of our service implies acceptance of the updated terms.

1. Terms of Purchase

  • Membership is subject to an annual or monthly fee. Membership fees are billed annually or monthly prior to commencement, unless otherwise stated by us.
  • Membership is automatically renewed annually unless cancelled by you or by us prior to the renewal date.
  • To use our services, you must ensure that you have a functioning smartphone or internet access. We strive to provide uninterrupted access to our service but cannot guarantee continuous availability.
  • You represent and warrant that you are at least 18 years old and legally capable of entering into this agreement.
  • The service is for personal use only and must not be redistributed.
  • We reserve the right to terminate your membership if you share your digital membership card or discount codes with non-members, misuse the service, or fail to meet the terms of any offered discounts.
  • Partner businesses may request to see your membership card and ID before offering any goods or discounts. Your membership card will be issued to you once your payment has been received.
  • You will be automatically enrolled on our mailing list when you become a member. You may unsubscribe at any time. Removal from our mailing list results in withdrawal of your automatic entry into our monthly prize draws.
  • By registering for our subscription service, you agree to opt out of, and will not receive invoices from MyMidlands for payments due or received.

2. Cancellation and Refunds Policy

  • You may cancel your membership at any time by doing so in your account or by emailing info@mymidlands.co.uk. Please note, no refunds will be issued for any fees upon cancellation.
  • You acknowledge that we reserve the right to change the price or what’s included in your subscription from time to time, including during a billing period. If you do not wish to continue your subscription as a result of any such change then you should cancel it before you are committed to the next billing period. Your continued use and/or renewal for a further billing period constitutes acceptance of those changes.
  • We reserve the right to terminate this agreement at any time and for any reason.

3. Partner Businesses and Affiliations

  • We advertise on behalf of our partner businesses and affiliates. We do not endorse, represent, or guarantee the quality or views of any partner businesses we collaborate with.
  • The information provided on discounts, offers, or products is for information purposes only, and we make no warranty regarding its accuracy or relevance. Information on our website is intended to be accurate but may not always be up to date or error-free.
  • We are not liable for any disputes arising between members and partner businesses.
  • Any complaints about a partner business must be raised directly with them. Additionally, please report any issues to us for our records.
  • A mutual code of conduct is expected of all stakeholders. Members must treat other members, partner businesses and their staff with respect. Misconduct, including failure or refusal to pay money owed to the proprietor, or abusive behaviour of any kind may result in immediate termination of membership without a refund and appropriate legal action will be enforced where it is deemed necessary.
  • MyMidlands reserves to right to engage in affiliate marketing programmes.

4. Compliance and Legal Obligations

  • We comply with all applicable laws and regulations related to your use of our service, including those concerning consumer rights, distance selling, data protection, and digital safety.
  • We are committed to protecting your privacy. Personal data collected will be minimal and processed in line with our Privacy Policy.
  • These terms and conditions are governed by and interpreted according to the laws of England and Wales, and you agree to the non-exclusive jurisdiction of English courts.

5. Intellectual Property

  • All intellectual property rights relating to our brand, name, website, and service belong to us. You acquire no ownership rights by using the service.
  • Use of our brand name and/or image requires our expressed permission in writing. Misuse of our intellectual property constitutes a breach of our Trademark and could result in prosecution.

6. Disclaimer

  • We are not liable for outdated discounts, inaccuracies in promotional material, or any withdrawal of participating businesses.
  • Our return on investment promise is conditional on members utilising the discounts available. If you actively use our exclusive discounts, you will experience savings compared to what you would pay without your MyMidlands membership.
  • We are not responsible for any cases of personal injury, death or fraudulent misrepresentation, or losses related to profits, goodwill, or data arising from your use of our service.
  • We are not responsible for the promotion of excessive alcohol consumption and encourage responsible behaviour in line with ‘Drink Aware’ campaigns.
  • MyMidlands is registered as a profit-making business, however we are committed to upholding our not-for-profit values and reinvesting all direct revenue back into this platform. Any indirect revenue will not be constituted as “profit”.

Partnered Business & Connector Terms and Conditions


This Partnership Agreement (the “Agreement”) is entered into by and between MyMidlands T/A NetworkLocal Limited (“We,” “Us,” “Our,” “NetworkLocal,” or “MyMidlands”) and you, the Partner (“You” or “Partner” or “Connector”). This Agreement outlines the terms under which the Partner will join the Connectors Club and/or provide exclusive discounts to MyMidlands members in exchange for agreed-upon promotional benefits and services.

1. Discounts
1.1 Exclusive Nature: Discounts offered by the Partner must be exclusive to our members only and may not be available through other channels without our prior written consent.
1.2 Discount Commitment: Once agreed upon, the Partner must uphold the discount terms for MyMidlands members as specified in this Agreement.
1.3 Duration of Discounts: Discounts must remain valid for a minimum of three (3) months. If not withdrawn or amended by the Partner, the discount will continue indefinitely.
1.4 Verification and Application: Partners must verify membership through digital cards and apply discounts only to valid members.
Where a digital membership card cannot be facilitated, a pre-agreed discount code, booking link or password will be issued to members. When verifying membership, Partners must take all measures to check all details including the expiration date for validity.
1.5 Misuse: MyMidlands is not liable for discount codes shared with non-members. Partners must take precautions to ensure discounts are applied only to valid members.
1.6 Conjunction with Other Offers: Discounts under this Agreement are not combinable with other offers unless explicitly permitted by the Partner. MyMidlands members will be informed accordingly.
1.7 MyMidlands Membership Schemes: MyMidlands operates multiple membership cards including the MyMidlands card, the MyLichfieldDistrict card, and the MyMidlands Corporate card. Discounts may be featured across these cards as appropriate. Connectors and Sponsors will be given priority for all advertising.
1.8 We are not responsible for any exclusive offers, discounts, or promotions provided to partners or sponsors by third-party businesses. All such offers are subject to the terms and conditions of the offering business, and we accept no liability for the availability, validity, or fulfilment of these offers.

2. Amendments and Termination
2.1 Amendments to Discounts: Partners may amend discounts up to twice per year with a minimum notice period of 48 hours.
2.2 Termination of Partnership: Either party may terminate this Agreement with 30 days’ written notice, which will result in the withdrawal of all associated benefits.
2.3 Breach of Agreement: A breach of any terms may lead to immediate termination by MyMidlands without liability for damages or losses. Termination will result in the immediate withdrawal of all
associated benefits.
2.4 MyMidlands may terminate the Agreement with immediate effect if the Partner company breaches its obligations or acts in a way that damages the MyMidlands or the NetworkLocal brand or reputation.

3. Obligations of Both Parties
3.1 Partner Obligations:

  • Partners are required request proof of membership and verify all attempts to redeem an agreed member offer without exception.
  • Partners are responsible for fulfilling agreed discount terms without exception.
  • The Partner must ensure that all relevant staff members are aware of the agreed-upon discounts.
  • Partners must not join competing discount schemes or business directories during the term of this Agreement.
  • Partnered businesses must appoint a key contact and respond promptly to communications. Failure to respond to three (3) communications within a reasonable timeframe may result in the withdrawal of partnership benefits.
  • Partnered businesses must notify MyMidlands of any relevant business, product, pricing or trading changes.
  • Partners agree to provide marketing support for MyMidlands as requested.
  • A mutual code of conduct is expected of all stakeholders. Misconduct or abusive behaviour of any kind may result in immediate termination of partnership and associated benefits provided by us. Members must conduct themselves professionally, ethically and respectfully at all times. Any behaviour that damages the reputation of MyMidlands, NetworkLocal Ltd or its members may result in immediate removal.
  • Partners agree to be receptive to introductions facilitated by MyMidlands or NetworkLocal.
  • Any content submitted for posting, promotion or sharing across MyMidlands channels must be accurate, factual, lawful, non-political, non-defamatory and non-spam.
  • MyMidlands is not responsible for the accuracy, legality or consequences of content submitted by members and reserves the right to refuse or remove content at its discretion.
  • All Connectors Club members are expected to actively participate, including referring work, making introductions, supporting fellow members, and attending events. Members who consistently fail to contribute referrals, introductions or meaningful engagement may have their seat withdrawn at the sole discretion of NetworkLocal Ltd, without refund.
  • Connectors Club members are required to attend a minimum of one NetworkLocal-hosted event per calendar month (virtual or in-person). Failure to meet this requirement may result in suspension or removal from the Connectors Club without compensation.
  • Advertising & Anti-Spam Policy: Connectors Club members may advertise their business within MyMidlands-run Facebook groups and WhatsApp communities, subject to moderation. Members are limited to a maximum of one promotional post per platform per day. Spam, excessive posting, repetitive promotions, offensive or low-quality content will not be tolerated and may result in post removal, suspension or membership termination.

3.2 MyMidlands Obligations:

  • We will ensure timely responses to Partner communications. Key contact: Kellie Johnson (07947 599585, info@mymidlands.co.uk).
  • We will provide agreed-upon benefits wherever possible. Where benefits are unsuitable or unwanted, MyMidlands is not obligated to provide alternatives.

4. Partnership Benefits
4.1 Eligibility for Benefits:

  • Partners offering indefinite discounts are entitled to benefits outlined in this Agreement.
  • Partners offering time-limited discounts or restrictions will be evaluated case-by-case.

4.2 Marketing Support:

  • MyMidlands will promote the Partner via social media, events, communications, and advertising as agreed wherever possible.

4.3 Complimentary Memberships:

  • Any complimentary memberships offered are for employees only unless otherwise agreed in writing. These memberships terminate upon partnership cessation.

4.4 Hosting Events:

  • Partners hosting our events may not charge for venue use or provision of hospitality.
    Appropriate facilities and catering must be provided by the Partner.

4.5 Photography and Influencers:

  • Photography sessions are limited to a specified time and within a 10-mile radius of Lichfield.
    Additional charges apply if these limits are exceeded.
  • External influencers introduced by NetworkLocal Ltd must receive your products or services for free. Reviews will be marked as “#gifted.”
  • Unless otherwise stated, any entitlement to an external influencer post will be subject to a 6 month waiting period following your initial payment.
  • MyMidlands is not responsible for any third party actions.

4.6 Commission:

  • Commission is payable to Partners for the successful referral of a company that becomes a paying Lead Sponsor within six (6) weeks of the referral date. To qualify, the referred Sponsor must not already be in contact with or known to us at the time of referral.
  • Commission will only be paid once the full sponsorship payment has been received in cleared funds from the Sponsor. The commission is calculated based on the value of a maximum one-year sponsorship term and is capped at a maximum of £1,000 per Sponsor referred.

4.7 One Seat Policy (Connectors Club members only):
Connectors Club operates a one-seat-per-category policy. Claimable seats are designated by NetworkLocal.

4.8 Invite-Only & Exclusivity: Connectors Club membership is strictly invite-only or referral-only. New members must be invited or referred by an existing member who can personally vouch for their credibility, professionalism and willingness to actively refer work. We reserve the right to decline or remove any member who does not meet the standards of a well-connected, referral-driven networking culture.

4.9 Introductions: All introductions and referrals are made in good faith and are intended to create potential mutual value. No guarantee of work, revenue, collaboration or outcome is made. MyMidlands shall not be liable for the conduct, behaviour, performance, disputes, losses or damages arising from any introduction or referral.

4.10 Introduction Requests: Members requesting an introduction must provide a clear, legitimate and commercially valid business case. We reserve full discretion over whether an introduction is appropriate and will not make introductions where insufficient value or relevance is demonstrated.

5. Intellectual Property and Branding
5.1 Use of Branding: Both parties may use each other’s branding exclusively for activities outlined in this Agreement.
5.2 Ownership Rights: We retain sole ownership of all of our intellectual property, including brand names and services.

6. Non-Compete & Exclusivity
6.1 Exclusivity of Participation
The Partner agrees that, during the term of this Agreement and for a period of thirty-six (36) months following its termination or expiration (for any reason), they shall not, without the prior written consent from us, register with, be listed in, or otherwise participate in any online business directory or comparable service that competes, directly or indirectly, with us within the Midlands region of the United Kingdom, defined as Birmingham, Derbyshire, Nottinghamshire, West Midlands, Staffordshire, Leicestershire, Sheffield, Coventry, Wolverhampton, Stoke on Trent, Worcestershire, Shropshire, Walsall, and Warwickshire (“Restricted Area”).

6.2 Restriction on Competing Services
The Partner shall not, within the Restricted Area and during the Restricted Period, directly or indirectly establish, own, manage, operate, be employed by, consult for, or otherwise be involved in any business or activity that provides services the same as or materially similar to those offered by us, including but not limited to:
Online business directories;
Discount card schemes;
Employee benefits schemes;

Community events pages;
Networking events; or
Any other service or initiative offered by us during the term of this Agreement.

6.3 Non-Circumvention
The Partner shall not, whether on their own behalf or in association with any other individual or entity, attempt to circumvent or replicate the business model, services, or intellectual property of MyMidlands or NetworkLocal Limited in a manner that would place them in competition with us within the Restricted Area and Restricted Period.

6.4 Consequences of Breach

Any breach of this Clause shall constitute a material breach of this Agreement, entitling NetworkLocal to terminate the Partner’s participation with immediate effect and pursue legal remedies, including but not limited to injunctive relief, compensation, damages, and recovery of all legal costs.

7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information shared under this Agreement.

8. Legal and Compliance
8.1 Data Protection: We will process personal data in accordance with our Privacy Policy.
8.2 Legal Compliance: Both parties must comply with applicable laws, including health and safety, employment, and modern slavery legislation.
8.3 Insurance and Liability:

  • Partners must have appropriate insurance coverage. We are not liable for any failure by the Partner to have the required insurances.
  • MyMidlands is not liable for the Partner’s financial, tax, health and safety, or employment compliance.

8.4 Criminal Background:

  • All partners signing this agreement or using our service certify that you, and any of your employees, have no spent or unspent criminal convictions. You are required to notify us immediately should your situation change.

8.5 No Partnership or Agency: Nothing in these terms creates a legal partnership, joint venture, employment or agency relationship between MyMidlands and any member.

9. Disclaimers
9.1 No Guarantee of Success
Membership of MyMidlands, NetworkLocal Ltd, or the Connectors Club does not guarantee business growth, revenue, referrals, leads, introductions, visibility, return on investment, or any specific outcome. All services are provided on a best-endeavours basis only.

Members acknowledge that outcomes are dependent on their own effort, engagement, conduct, reputation, attendance, and follow-up. This is a “get out what you put in” membership and results will vary significantly between members.

9.2 Exclusions of Liability: To the fullest extent permitted by law, MyMidlands (T/A NetworkLocal Ltd), its directors, officers, employees, contractors and representatives shall not be liable for any direct, indirect, incidental, consequential, special or economic loss, loss of profits, loss of business, reputational damage, data loss, or any other damages arising from or in connection with membership, events, introductions, referrals, promotions, advertising, directory listings or third-party interactions.
MyMidlands is not liable for:

  • Disputes between members and Partners.
  • Personal injury, death, or losses related to profits, goodwill, or data arising from use of our service.
  • Partners’ or Members’ non-compliance with laws or regulations.

9.3 Right to Amend Terms: MyMidlands may amend benefits and terms without written notice. Continued membership constitutes acceptance of updated terms.
9.4 Advice Disclaimer: Opinions or advice provided by us are suggestions only. Partners should seek independent advice where necessary.

9.5 By registering for our subscription service, you agree to opt out of, and will not receive, invoices from MyMidlands for payments due or received.

9.6 Rewards & Incentives Disclaimer: All rewards, incentives, points, prizes or benefits offered to Connectors Club members are discretionary, non-guaranteed, non-transferable, and have no cash value. Rewards cannot be exchanged, substituted, deferred or redeemed for alternative items. Connector points are awarded solely at the discretion of NetworkLocal Ltd and no correspondence or dispute will be entered into regarding their allocation or removal.

9.7 Directory Listing Limitations: Featured business listings apply solely to the Midlands Business Directory category or industry pages. Featured placement does not apply to keyword search results or search bar functionality, where results are determined algorithmically and may vary. No guarantee is given regarding visibility, impressions, clicks or enquiries.

9.8 Third-Party Promotions Disclaimer: Where MyMidlands or NetworkLocal introduces members to external partners, collaborators or promotional opportunities, any promotion, service or outcome provided by such third parties is entirely outside the control of MyMidlands. MyMidlands accepts no responsibility or liability for third parties failing to deliver promised exposure, promotion or services.

9.9 Events Disclaimer: While reasonable efforts will be made to host regular virtual and in-person events, the frequency, format, timing and location of events are not guaranteed and may change without notice.

9.10 Termination Without Cause: MyMidlands reserves the right to suspend or terminate any membership at any time where a member’s conduct, behaviour, attitude, reputation or actions are deemed detrimental to the community, brand or other members. Termination may occur without warning and without liability beyond statutory obligations.

10. Complaints
Complaints regarding members or Partners should be submitted to info@mymidlands.co.uk for review.

11. Severability
If any provision or part of this Agreement, including the Non-Compete & Exclusivity Clause, is found by any court or other competent authority to be invalid, unlawful, or unenforceable, such provision or part shall be severed from the Agreement and deemed modified to the minimum extent necessary to make it valid and enforceable, without affecting the validity or enforceability of the remainder of this Agreement. The parties agree that the restrictions contained in the Non-Compete & Exclusivity Clause are reasonable and necessary for the protection of MyMidlands’ legitimate business interests, and it is their mutual intention that such restrictions be enforced to the fullest extent permitted by law.

Agreement and Sign-Off
This Agreement constitutes the full understanding between the parties and supersedes all prior agreements or representations.

Standard Payment Terms

1. Overview

This Payment Terms Agreement outlines the terms and conditions regarding membership subscription payments made to MyMidlands (“we”, “us”, or “our”) by subscribers (“you”, “your”, or “member”). By subscribing to our services, you agree to these terms.

2. Payment Terms

  • Advance Payment Required: All membership fees are payable in advance of the subscription period. No services will be provided until payment is received in full.
  • Subscription Options:
    • Monthly Subscription: Billed on a recurring monthly basis.
    • Annual Subscription: Billed on a recurring annual basis (with applicable discounts, if offered).
  • Accepted Payment Methods: Payment must be made via our designated payment platform using accepted methods (e.g., debit/credit card, PayPal, etc.).
  • Receipts: An automated receipt will be sent to the email provided at the time of payment.

3. Renewals and Cancellations

  • Auto-Renewal: All subscriptions are automatically renewed unless cancelled by the member prior to the next billing date.
  • Cancellation Policy: You may cancel your subscription at any time via your account settings. Cancellations take effect at the end of the current billing period.
  • No Refunds: As services are delivered digitally and access is granted upon payment, we do not offer refunds for any portion of a subscription period, whether used or unused.

4. Failed or Late Payments

  • If a payment is declined or not received on time, access to your membership benefits may be suspended until payment is successfully processed.
  • Continued non-payment will result in permanent cancellation of your subscription.

5. Modifications

We reserve the right to update or modify these payment terms with 14 days’ notice. Any changes will be communicated via email or posted on our website.

Any issues or disputes regarding an invoice must be raised no later than 10 business days after the invoice or payment is issued.

Business Directory Listing Terms

By submitting a listing to our online directory, you acknowledge and agree that:

  • You are subscribing to our mailing list and consent to receive communications from us, including service updates, promotions, and relevant announcements.
  • Unsubscribing from our mailing list may result in the removal of your listing from the directory, at our sole discretion.
  • We accept no responsibility or liability for any negative consequences, reputational or otherwise, that may arise from being listed in the directory.
  • It is solely your responsibility to ensure that your listing information is accurate, complete, and up to date. We do not guarantee the accuracy or reliability of any listing content.
  • We reserve the right to edit, remove, or refuse listings at any time, for any reason, without notice.
  • Submission of a listing does not guarantee inclusion, prominence, or visibility in the directory.
  • We are not liable for any losses, damages, or claims—direct or indirect—arising from your use of the directory or your listing’s presence within it.

By submitting a listing, you confirm that you have the authority to represent the business or entity listed, and you agree to indemnify and hold us harmless from any disputes or claims arising from the listing or the information it contains.
